TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID OR PAYABLE BY YOU THROUGH THE WEBSITE DURING THE SIX-MONTH PERIOD PRIOR TO THE ACT, OMISSION, OR OCCURRENCE GIVING RISE TO SUCH LIABILITY; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

THE LIMITATIONS OF THIS SECTION APPLY WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED ITS ESSENTIAL PURPOSE.
Our vendors and service providers are intended third-party beneficiaries of this section and may enforce it directly.

Binding Arbitration (“Arbitration Agreement”)
PLEASE READ THIS ARBITRATION AGREEMENT CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO HAVE CERTAIN DISPUTES DECIDED IN COURT BY A JUDGE OR JURY.
a. Applicability of Arbitration Agreement. You agree that any dispute or claim against Us, or our vendors or service providers (collectively, “We” or “Us”), related in any way to your access to or use of this Website, these Terms, or any aspect of your relationship with Us will be resolved by binding arbitration rather than in court, except that (1) you may assert claims in small claims court if your claims qualify, so long as the matter remains in such court and proceeds only on an individual, non-class, non-representative basis; and (2) you or We may seek equitable relief in court for infringement or other misuse of intellectual property rights, including trademarks, trade dress, domain names, trade secrets, copyrights, and patents. You agree that you must commence any arbitration or other claim within one (1) year after the dispute arises; otherwise, the claim is permanently barred. This Arbitration Agreement applies, without limitation, to all claims that arose or were asserted before the effective date of these Terms or any prior version of this Arbitration Agreement, except as otherwise provided in subsection (j) below.
You agree in advance that you will not participate in or seek to recover monetary or other relief in any lawsuit filed against Us alleging class, collective, mass, coordinated, or representative claims on your behalf, except as expressly permitted by applicable law or through Batch Arbitration as described below. Instead, by agreeing to arbitration, you may bring your claims against Us in an individual arbitration proceeding, subject to the Batch Arbitration provisions below. If successful, you may be awarded money or other relief that the arbitrator is authorized to award under applicable law and this Arbitration Agreement. You acknowledge that you may consult with an attorney in deciding whether to accept these Terms, including this Arbitration Agreement.
The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement.
Our vendors and service providers are intended third-party beneficiaries of this Arbitration Agreement and may enforce it directly.
b. Individualized Notice and Informal Resolution. Before commencing arbitration, the party asserting a dispute must first provide the other party with an individualized written Notice of Dispute.
A Notice of Dispute submitted by you must include:
- your full name and contact information;
- a description of the legal claim or claims asserted;
- the specific facts giving rise to the claim, including, where applicable, the relevant date, approximate time, Website page or URL, transaction, interaction, account, or other identifying information reasonably available to you;
- the specific relief requested;
- if the dispute concerns Website technology, privacy, tracking, advertising, analytics, cookies, pixels, tags, or similar technologies, sufficient information reasonably available to you to identify the interaction at issue, including, where applicable, the browser, device, approximate date and time, URL, technology or recipient allegedly involved, and any network capture, screenshot, or similar evidence on which you rely; and
- a certification, signed by you personally, that you personally reviewed and authorized the Notice of Dispute. An electronic signature is sufficient.
Notices to the Company must be sent to:
Just One Cookbook Corporation
1025 Alameda de las Pulgas #337
Belmont, CA 94002
You and We agree to attempt in good faith to resolve the dispute informally.
At either party’s request, you and an authorized representative of the Company shall participate in an individualized telephone or videoconference concerning the dispute before arbitration is commenced. You and We may each be represented by counsel, but the claimant and an authorized representative of the Company must also personally participate unless otherwise agreed.
Compliance with this subsection is a condition precedent to initiating arbitration, to the fullest extent permitted by applicable law and the applicable arbitration rules.
Unless the parties agree otherwise, if a resolution is not reached within thirty (30) days after receipt of a compliant Notice of Dispute and completion of any timely requested informal conference, either party may commence arbitration.
The arbitration will be conducted by JAMS pursuant to the applicable JAMS rules and procedures, except as otherwise provided in this Arbitration Agreement and permitted by applicable law. Disputes involving claims and counterclaims under $250,000, excluding attorneys’ fees and interest, will be subject to JAMS’s then-current Streamlined Arbitration Rules and Procedures. All other claims will be subject to JAMS’s then-current Comprehensive Arbitration Rules and Procedures.
If JAMS is unavailable to arbitrate, the parties will select an alternative arbitral forum. You may choose to have the arbitration conducted remotely, based on written submissions, or in person at a mutually agreed location, subject to applicable arbitration rules.
We will be entitled to make an offer of judgment or comparable settlement offer in the arbitration proceeding to the extent permitted by applicable law and applicable arbitration rules. If such an offer is not accepted and the ultimate award is not more favorable than the unaccepted offer, responsibility for costs incurred following the offer will be determined in accordance with applicable law and the applicable arbitration rules. Judgment on any arbitration award may be entered in any court of competent jurisdiction.
c. Arbitration Fees and Costs. Arbitration filing, administrative, hearing, arbitrator, and other fees will be allocated in accordance with applicable law and the applicable JAMS rules and standards.
If applicable law or applicable JAMS rules require Us to pay fees that would otherwise be payable by you, We will pay those fees.
If the arbitrator determines that a claim, defense, or proceeding is frivolous or was brought for an improper purpose, the arbitrator may allocate attorneys’ fees or costs to the extent permitted by applicable law and the applicable arbitration rules.
d. Authority of Arbitrator. The arbitrator, and not any federal, state, or local court or agency, will have exclusive authority to resolve any dispute related to the interpretation, applicability, enforceability, or formation of this Arbitration Agreement, including any claim that all or any part of this Arbitration Agreement is void or voidable, except to the extent applicable law requires otherwise.
The arbitration will decide the rights and liabilities, if any, of you and Us. Except as expressly provided under the Batch Arbitration provisions below or required by applicable law, the arbitration proceeding will not be consolidated with unrelated matters or joined with unrelated parties.
The arbitrator will have authority to grant motions dispositive of all or part of any claim and to award monetary damages and any non-monetary remedy or relief available to an individual under applicable law, the applicable arbitration rules, and these Terms.
Nothing in this Arbitration Agreement prohibits an arbitrator from awarding public injunctive relief to the extent such relief is available in arbitration and cannot lawfully be waived.
The arbitrator will issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The arbitrator has the authority to award relief on an individual basis to the extent permitted by applicable law and this Arbitration Agreement. The award of the arbitrator is final and binding upon you and Us, subject to any review permitted by applicable law.
e. Waiver of Jury Trial. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND WE WAIVE ANY CONSTITUTIONAL OR STATUTORY RIGHT TO HAVE CLAIMS SUBJECT TO THIS ARBITRATION AGREEMENT DECIDED IN COURT BY A JUDGE OR JURY.
You and We instead elect to resolve such claims through arbitration, except as expressly provided in this Arbitration Agreement. An arbitrator may award on an individual basis the damages and relief permitted by applicable law and this Arbitration Agreement. There is no judge or jury in arbitration, and court review of an arbitration award is limited.
f. Waiver of Class or Consolidated Actions. Except with respect to Batch Arbitration as provided below, and to the fullest extent permitted by applicable law, all claims and disputes within the scope of this Arbitration Agreement must be arbitrated on an individual basis and not on a class, collective, mass, coordinated, or representative basis.
Except as otherwise required by applicable law, only individual relief is available, and claims of more than one customer or user may not be arbitrated, joined, or consolidated with the claims of another customer or user except through the Batch Arbitration process expressly provided in this Arbitration Agreement.
Notwithstanding the foregoing, nothing in this Arbitration Agreement waives, or shall be construed to waive, your right to seek public injunctive relief to the extent such right cannot lawfully be waived. To the extent public injunctive relief is available in arbitration under applicable law, the arbitrator may award such relief.
To the extent a claim for public injunctive relief is determined not to be subject to arbitration under applicable law, that claim, and only that claim, shall be severed from the claims subject to arbitration and may proceed in a court of competent jurisdiction. To the extent permitted by applicable law, proceedings on the severed claim may be stayed pending completion of arbitration of the arbitrable claims.
The invalidity or unenforceability of a restriction in this subsection as applied to a particular claim or form of relief shall not, by itself, invalidate this Arbitration Agreement. Any invalid or unenforceable restriction shall be severed only to the extent necessary, and the remainder of this Arbitration Agreement shall remain in full force and effect to the maximum extent permitted by applicable law.
g. Batch Arbitration. You and We agree that, in the event that there are fifty (50) or more individual requests for arbitration of a similar nature filed against Us within an approximately thirty (30)-day period, or otherwise in close proximity, regardless of the state or states in which such claims are filed, JAMS will administer all such similarly situated arbitration demands on a collective basis as a single, consolidated arbitration, subject to a single set of fees, proceeding schedule, and, if required, hearing, before a single arbitrator in accordance with the requirements outlined elsewhere in this section, provided that, if the arbitrator deems it impracticable or inequitable to administer all such claims collectively in a single arbitration, the arbitrator may group demands for arbitration into groups of not fewer than twenty (20) matters, plus a remainder group as needed, or as otherwise deemed by the arbitrator to be practicable, equitable, and in keeping with the purpose of this provision. Either structure constitutes a “Batch Arbitration.”
The parties agree that the JAMS Mass Arbitration Procedures and Guidelines in effect when the first of such demands is filed shall apply to proceedings governed by this subsection, with the threshold for their application being the number of demands specified in this subsection rather than any default number stated in those Procedures. Where this subsection and those Procedures conflict, those Procedures govern, and this subsection applies only to the extent not inconsistent with them.
You and We agree (1) to work with JAMS in good faith to facilitate the resolution of disputes on a Batch Arbitration basis and (2) that requests for arbitration are of a “similar nature” if they arise out of the same event, agreement, practice, Website functionality, or substantially similar factual circumstances, raise the same or similar legal issues, and seek the same or similar relief.
Disagreements over the applicability of this Batch Arbitration process will be resolved in accordance with applicable law and applicable arbitration rules. This Batch Arbitration provision shall not be interpreted as authorizing a class action, class arbitration, collective arbitration, representative proceeding, or joint or consolidated proceeding except under the circumstances expressly set forth in this subsection.
h. Severability. Except as expressly stated otherwise in this Arbitration Agreement, if any provision or portion of this Arbitration Agreement is found invalid or unenforceable, that provision or portion shall be severed to the minimum extent necessary, and the remainder of this Arbitration Agreement shall continue in full force and effect.
Where a provision is unenforceable only as to a particular claim, remedy, person, or circumstance, it shall be severed only as to that claim, remedy, person, or circumstance to the fullest extent permitted by applicable law.
i. Survival. This Arbitration Agreement will survive the termination of your relationship with Us and any discontinuation of the Service.
j. Modification. Notwithstanding any provision in these Terms to the contrary, if We make any future material change to this Arbitration Agreement, that change will not apply to any individual claim for which you provided Us with a Notice of Dispute before the effective date of the material change, unless you and We expressly agree otherwise.
Governing Law
These Terms shall be governed by the laws of the State of California, United States, excluding its conflict-of-law rules, except to the extent such law is preempted or another jurisdiction’s law must apply under applicable law. Your use of the Service may also be subject to mandatory local, state, national, or international laws that cannot lawfully be waived by contract.
Dispute Resolution
If you have any concerns or disputes regarding the Service, please contact the Company first to attempt to resolve them informally. Any dispute subject to the Arbitration Agreement above must also comply with its individualized Notice and informal-resolution requirements.
